Welcome to Yaarky (the "App"), a comprehensive digital operating system and school management application provided by Yaarky ERP Solutions. These Terms and Conditions ("Terms") govern your access to and use of our SaaS platforms, websites, and mobile applications.

By registering for an account, accessing, or using the Yaarky application, you (the "User", "School", or "Institution") agree to comply with and be bound by these Terms. If you are entering into these terms on behalf of a school or legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Acceptance of Terms

By creating an account or accessing the services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. We reserve the right to update or modify these Terms at any time without prior notice. The updated version will be indicated by the "Last Updated" date. Continued use of the App constitutes acceptance of revised terms.

2. User Accounts & Roles

Yaarky operates under a multi-tenant role-based access control (RBAC) model. Access level depends on the user type:

• Administrators: Have full administrative access to manage student data, fee structures, settings, and staff profiles.
• Teachers/Staff: Granted permissions to view student rosters, record attendance, enter grades, and update homework.
• Parents: Allowed access to view their own children's academic progress, fee balances, payment schedules, and attendance.
• Students: Access resources, timetables, and homework assignments.

All users are responsible for keeping login credentials confidential. You agree to notify school administrators immediately of any unauthorized use or security breach.

3. Acceptable Use Policy

You agree to use Yaarky only for legitimate educational and administrative school purposes. You must not:

• Use the App to distribute spam, upload viruses, or transmit offensive or unlawful material.
• Attempt to reverse-engineer, probe, scan, or compromise the security of our application, API infrastructure, or databases.
• Use automated scripts or scraping tools to extract bulk records from the database without written permission.
• Impersonate any person or misrepresent your affiliation with the school.

4. Subscriptions & Fees

For educational institutions utilizing Yaarky ERP, the following billing terms apply:

• Pricing: Subscription fees are charged based on the active student strength or the configured suite of modules as specified in the billing agreement.
• Payment terms: Invoices are generated monthly or annually. Payment must be made within the timeframe specified in the invoice.
• Late Payments: Unpaid invoices may lead to temporary suspension of administrative access, though parent and student portals are kept active for a grace period.
• Taxation: Prices are subject to applicable goods and services taxes (GST/VAT) depending on region.

5. Intellectual Property

The Yaarky logo, visual designs, databases, source code, workflows, and service architecture are protected by copyright, trademark, and trade secret laws, and are the exclusive intellectual property of Yaarky ERP Solutions. You are granted a limited, non-exclusive, non-transferable, revocable license to access the application during the active subscription period.

6. Service Availability & SLA

We strive to maintain a high-availability environment for schools:

• Uptime Target: We aim for a 99.9% uptime target for the hosting server and mobile APIs, excluding scheduled maintenance.
• Scheduled Maintenance: Maintenance that might cause service disruption is scheduled during off-peak hours (e.g., weekends/late nights) and communicated to administrators in advance.
• Backup & Recovery: Database backups are executed daily and encrypted securely to prevent data loss in catastrophic scenarios.

7. Data Ownership

The subscribing School or Institution retains sole ownership of all student records, parent contact details, attendance profiles, exam marks, and financial registers uploaded to Yaarky. Yaarky acts solely as a data processor. Upon subscription termination, schools may request an export of their database schema in standard SQL or Excel formats subject to outstanding balances being cleared.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Yaarky and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or educational disruption resulting from the use or inability to use the services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
